Carlos Lamoutte is an Income Member in the Real Estate and Commercial Financing Practice Group.
Practice Areas
Mr. Lamoutte's main areas of practice are banking and finance, real estate, mergers and acquisitions, mortgage law and property registry issues, UCC secured transactions, corporate law and business consulting. As a business lawyer, Mr. Lamoutte principally concentrates his transactional practice in the representation of major commercial lenders, real estate developers and business owners, both foreign and domestic; and also handles business and regulatory matters.
Education
Mr. Lamoutte obtained a B.A. in Economics from Marquette University in 1997, and a Juris Doctor from the Pontifical Catholic University of Puerto Rico School of Law in 2001.

Mr. Lamoutte is admitted to the practice of law in the Commonwealth of Puerto Rico and the United States Court of Appeals for the First Circuit. Mr. Lamoutte is also a licensed notary public.

April 2008 (Developer's Counsel) - Ongoing representation of Coco Beach Development Corporation and its affiliates in the continuing development of the resort complex located in the municipality of Río Grande, Puerto Rico, commonly known as "Coco Beach Resort", including, among other things, the development of luxury residential projects licensed by The Trump Organization.
March 2008 (Lender's Counsel) - Represented Metropolitan Life Insurance Company (MetLife) in the refinancing of two regional shopping centers located in the municipalities of Bayamón and Carolina, Puerto Rico, respectively, commonly known as "Río Hondo Shopping Center" and "Escorial Shopping Center".
December 2007 (Seller's Counsel) - Represented the Chicago-based Pritzker Family in the re-structuring and sale of two major resorts, four golf ranges, various development parcels, various ongoing residential developments, as well as related amenities and facilities located in the municipalities of Dorado and Vega Alta, respectively, commonly known as "Dorado Beach" and "Cerromar".
October 2007 (Lead Bank's Counsel) - Represented Citibank, N.A. with respect to a $200,000,000 syndicated credit facility granted to the owner of The Ritz Carlton Hotel, Spa & Casino located in the municipality of Carolina, Puerto Rico.
June 2007 (Buyer's Counsel) - Represented Legacy Pharmaceuticals Puerto Rico, LLC (formerly Valeant Puerto Rico, LLC) in the acquisition of a pharmaceutical plant and related facilities located in the municipality of Humacao, Puerto Rico.
May 2007 (Seller's Counsel) - Represented The Storage Building Corporation in the sale of a self-storage warehouse facility located in the municipality of Caguas, Puerto Rico.

Fall 2005 (Board Counsel) - Represented the Audit Committee of the Board of Directors of First Bancorp (FirstBank Puerto Rico) and issued various true sale opinions regarding mortgage loan acquisition commitments (in excess of $1 Billion) entered into by FirstBank Puerto Rico, as buyer, and Doral Financial Corporation and R-G Financial Corporation, as sellers, respectively, resulting in the re-characterization of the same as secured borrowings.
